I. DEFINITIONS

These Terms and Conditions specify the general conditions for using dunin.eu Online Store, concluding Service Agreement, Sales Agreement and the rules for using services provided by the Seller. By making a purchase in the dunin.eu Online Store, the Customer accepts the provisions of these Terms and Conditions.

Online Store – an online store registered at dunin.eu, operating 7 days a week, 24 hours a day, run by the company DUNIN Sp. z o.o. with its registered office in Bielsko-Biała, ul. Sobieskiego 62A, NIP [Tax Identification Number]: 547 20 60 638, REGON [National Official Business Register]: 240556869, KRS [National Court Register]: 0000274048;

Seller – DUNIN Sp. z o.o. with its registered office in Bielsko-Biała, ul. Sobieskiego 62A, NIP [Tax Identification Number]: 547 20 60 638, REGON [National Official Business Register]: 240556869, KRS [National Court Register]: 0000274048;

Product/Goods – all items (also referred to as goods) sold by the Seller via the Online Store for the benefit of the Customer upon payment of the price. All goods available in the offer of the Online Store are brand new, unless expressly stated otherwise;

Order – a form made available on the website of the Store, specifying the Goods the Customer intends to buy and the Customer’s data necessary for the conclusion and performance of the Agreement. The Order sent to the Seller forms the Customer’s declaration of will to conclude the Distance Sales Agreement through the Store or a will to conclude the Sales Agreement directly at the Seller’s Business Partner’s shop, if the “collect in shop” delivery option is selected;

Sales Agreement / Agreement – a sales agreement under the Civil Code relating to the sale of Goods by the Seller for the benefit of the Customer against payment of the price of the Goods plus any shipping costs, the terms of which are defined in particular by these Terms and Conditions, concluded between the Customer and the Seller in the manner specified in these Terms and Conditions, i.e. it is, in particular, concluded with the application of means of distance communication. The Sales Agreement specifies, in particular, the Goods, their characteristics, price, shipping costs, if any, and other material terms and conditions; in the case that the Customer chooses the option to purchase and collect the ordered Goods in the shop of a selected Business Partner of the Online Store pursuant to point IV.6 of these Terms and Conditions, the Customer concludes the Sales Agreement with the Business Partner at the moment of collecting the Goods from the Business Partner and in such a case the concluded Sales Agreement does not form the Distance Sales Agreement.

Basket – a service which is made available to each Customer and each user of the Online Store available at dunin.eu. It enables to purchase of one or several Goods in an easy manner, enter discount codes in order to reduce price on the principles specified in separate regulations, display a summary of the purchase price of individual Goods and all the Goods in total (including any shipping costs), display the expected delivery date of the Goods, remember the Goods added to the basket also after the end of the browser session for a period no longer than 21 days;

Account – space available to the customer in dunin.eu Online Store giving wider access to the shop’s functionalities, including e.g. orders, notes, delivery addresses, discount vouchers and others;

Customer – a natural or legal person or other organisational unit with full legal capacity who accepts the Terms and Conditions in order to create the Account or conclude the Sales Agreement;

Promotions – special terms of sale, regulated on the principles expressed in separate terms and conditions, concerning a special offer of the Online Store valid in a specific period of time which the Customer can use on the principles specified in a separate document;

Individual Order – Customer’s order for a product which is not in the shop’s standard offer and will be made to special order by one of the store’s suppliers. Due to the nature of the Individual Order, the Store will charge a min. 30% advance payment for the performance of the order and the date of performance of the order.

Business Partner of the Online Store – an entity engaged in the sale or distribution of products offered by the Online Store based on a separate agreement concluded with the Seller.

II. GENERAL PROVISIONS

1. dunin.eu Online Store conducts retail sales by means of the Internet network and the dunin.eu platform available at this address and acts as an intermediary in the conclusion of the Sales Agreement between the Customer and a selected Business Partner of the Online Store in the case specified in point IV.6 of these Terms and Conditions.
2. Acceptance of the provisions of these terms and conditions is necessary to conclude a Sales Agreement and set up an Account in the Online Store.
3. The Seller informs that all products available in the offer of dunin.eu Online Store are brand new, originally packaged and free from physical and legal defects.

III. PLACING AN ORDER / CONCLUDING A SALES AGREEMENT

1. All prices given in the Online Store dunin.eu are gross prices in Polish zloty and include VAT. The prices do not include possible shipping costs.

2. The orders are placed through the Online Store available at dunin.eu 7 days a week, throughout the year.
3. The Order shall be effective only if the Customer specifies the correct data for the performance of the Order, including in particular the delivery address and contact details or selects the option to purchase and collect the ordered goods at a selected Partner of the Online Store under point IV.6 of these Terms and Conditions. Failure to provide such data shall entitle the Online Store to cancel the Order.
4. The Customer agrees to issue and send electronically or by post or courier an image of settlement documents, in particular such as: VAT invoices with appendices, correcting VAT invoices with appendices and forms. This consent also authorises the Seller to issue and send VAT invoices in electronic form under the Ordinance of the Minister of Finance of 17 December 2010 on sending invoices in electronic form, the rules of their storage and the manner of making them available to a tax authority or tax inspection authority.
5. The customer has the opportunity to use the option of saving the data to facilitate the process of placing another order by setting up an Account in the dunin.eu Online Store. The login and password chosen by the Customer should remain his/her secret. The login data of the Customer are not known to the Seller. It is possible to retrieve the login and password on the login website of the Online Store.
6. The time of commencement of performing the order shall coincide with the moment of recording the payment on the Seller’s account for the ordered Goods. In the case of “Cash on delivery”, the order performance time is counted immediately from the moment of its recording in the Online Store.
7. The Seller places products in the shop that can be ordered individually which are subject to valuation on a case-by-case basis due to their individual nature.

it only determines the selling price by specifying the relevant dimensions and number of pieces. Only with this information will the seller determine the selling price.
Individual orders are performed only after an advance payment in the amount agreed with the seller of the Store and are performed within the time limit agreed individually with the Customer.

The presented prices do not constitute a commercial offer, but only an invitation to submit offers by the Customer, and by adding goods to the basket and confirming the order, an effective sales contract is not yet concluded.

IV. COSTS AND SHIPPING

1. The Goods are sent to the Customer at the address specified in the Order form. Any irregularities in the data necessary for the fulfilment of the order can cause a delay in the delivery of the Goods.
2. Goods are usually dispatched within 24 working hours after the payment for the Order is credited to the Seller’s account via courier service of the selected operator or by pallet shipment. For various reasons (pandemic, very large number of orders, etc. ) the dispatch deadline can be delayed but not more than 14 days.
3. The customer shall be encumbered with the shipping costs specified in the price list available in the “Delivery and payment” tab of dunin.eu Online Store. The amount of charges depends on the delivery method and payment method chosen by the Customer.
4. Deliveries are made in the territory of the Republic of Poland.
5. Before collecting the parcel from the post office or from the courier, check if the packaging has not been damaged in transport. In particular, you should pay attention to the condition of the tapes or seals affixed to the parcel. If the parcel has clear signs of damage or if the seals (tapes) are broken or damaged, do not accept the parcel and, in the presence of the courier, draw up a damage protocol and contact the Seller as soon as possible to clarify the matter. We would like to inform you that the lack of ascertainment of irregularities in the scope of quantitative or qualitative state of the parcel upon receipt may have a negative impact on the result of considering the Customer’s claims for damage or robbery of the parcel in transport.
6. When ordering the Goods, the Customer can select the option to pick up the Goods at the selected shop of the Business Partner of the Online Store – “Pick up in shop”. In such a case, the Customer only orders the Goods via the Online Store but he/she purchases the Goods from the Business Partner of the Online Store concluding the Sales Agreement with the Business Partnern which does not form a distance sales agreement. In such a situation, the Customer pays the price of the purchased Goods directly to the Business Partner at the time of receipt of the Goods. At the moment of conclusion of the Sales Agreement with the Business Partner of the Online Store, the provisions of the generally applicable law apply to this agreement and in particular it is the Partner who is liable to the Customer under the warranty for defects of the purchased Goods.
7. Points IV.1-5 do not apply if the Customer chooses the option of collecting the ordered Goods in the shop of the selected Business Partner of the Online Store.

V. PAYMENTS

1. For each purchased good at the dunin.eu Online Store we issue a receipt or, at request, a personal invoice delivered to the customer with the order or by e-mail or post.
2. Payment for the purchased Goods can be made:
a) by bank transfer to the account no. 81 1140 1049 0000 4116 9300 1001 specifying the order number;

b) cash on delivery (payment on delivery) via courier;

c) fast payments.

VI. WITHDRAWAL FROM THE AGREEMENT

1. According to the prevailing rules, the Customer has the right to withdraw from the agreement without giving any reason within 14 days of receiving the Goods. The Seller cna extend this period in the form of a Promotion, which will then be governed by the rules of this Promotion. This provision shall not apply in the case of purchasing the Goods according to the procedure described in point IV.6 of these Terms and Conditions.
2. The returned Goods will be accepted only if they are sent back fully complete and will not be damaged in any way or bear any traces of use.
3. In the case of exercising the right of withdrawal from the agreement, the Goods should be sent to the address of our warehouse: DUNIN Sp. z o.o. ul. Krakowska 183, 43-300 Bielsko-Biala.
4. Shipping costs shall be borne by the Customer. The online store does not accept cash on delivery.
5. The parcel must be accompanied by a completed “Withdrawal from Agreement” form which you can downloaded here. Returns without the specified document will not be processed.
6. The Seller shall refund to the Customer the cost of the amount paid by the Customer (price of the Goods), within 14 days from the date of receipt from the Customer of the declaration of withdrawal from the agreement, to the account specified by the Customer or, if no account is specified, by the same means by which the Customer paid the amount due for the Order.
7. In the case of withdrawal from the performance of the Individual Order that is not associated with the poor quality or a defect in the product, the Customer will lose thepaid advance payment which corresponds to the loss of value of the goods that cannot be resold to the another Customer of the shop due to the nature of the Individual Order as described in the definitions.

VII. COMPLAINT ABOUT GOODS

1. A complaint about the purchase of the Goods in the Online Store can be made for the following reasons: a) manufacturing defect of the Goods at the time of purchase, b) defect arising as a result of delivery of the Goods, c) non-compliance of the Goods with the Order, d) incorrect quantity of the Goods delivered.
2. In the case of damage caused in transport, it is required to write a damage protocol with the courier; if this was not possible at the time of delivery of the Goods, the damage can be reported by telephone to the courier company delivering the goods – up to 6 days.
3. Customer complaint with full documentation (complaint form, photos of damaged goods, damage protocol-transport complaints) should be reported to the Complaints Department at sklep@dunin.eu. Complaint form can be downloaded there. Complaints sent without complete set of documents or correctly filled in document will not be considered.
4. In the case when the Online Store does not have in stock the Goods subject to replacement, it can offer the alternative Goods or, within 7 days of positive consideration of the complaint, collect the defective goods and return the amounts due for their purchase.
5. Deficiencies or inconsistencies of the goods in the delivery should be reported within 7 days of the delivery. Please check the ordered products carefully within this period. After this time complaints will not be considered. Notification must be received before the goods are fitted or otherwise permanently connected to the substrate, otherwise complaints will not be considered.
6. DUNIN is bound by a 14-day time limit for processing consumer complaints.
7. In the case of exercising the right of customer complaint, the Goods should be sent to the address of our warehouse: DUNIN Sp. z o.o. ul. Krakowska 183, 43-300 Bielsko-Biała.
8. The provisions specified in point VII.1-5 do not apply in the case of purchase of Goods according to the procedure described in point IV.6 of these Terms and Conditions. In such a case, the complaints shall be considered by the Business Partner of the Online Store.

VIII. WARRANTY

1. All prices given in the Online Store dunin.eu are gross prices in Polish zloty and include VAT. The prices do not include possible shipping costs.
2. All Goods available in the Online Store at dunin.eu are subject to replacement when: a) they have manufacturing defects, b) the goods do not comply with the Order.

IX. PRIVACY POLICY AND DATA PROTECTION

1. The controller of personal data provided by customers of the Online Store is the Seller.
2. Personal data is used for the purposes necessary for the performance of sales agreements and therefore can be transferred to entities responsible for the delivery of purchased goods to the Customer. Customers always have the right to access and correct their data. Data is provided voluntarily.

X. FINAL PROVISIONS

1. These Regulations shall enter into force on the day of its publication on the Online Store website at dunin.eu on 01.12.2015.
2. The place of concluding the Sales Agreement is the Seller’s registered office.
3. The presence of goods in the assortment of tdunin.eu Online Store does not mean availability of goods and the possibility of performing the order.
4. dunin.eu Online Store makes every effort to ensure that the presented descriptions of the Goods on the website along with photographs present the actual state of the Goods.
5. The competent court for any disputes that can arise from the performance of the provisions of these Terms and Conditions shall be the court of the proper venue serving the address of the registered office of the Seller.
